Service

1. SUBJECT MATTER AND DEFINITIONS

ModelNX provides an AI-powered SaaS platform for fashion imagery, including Virtual Try-On (VTON), 4K Upscaling, and AI Video Generation.

• "Inputs" means images (garments, models) or text provided by the Client.
• "Generated Assets" means the outputs (images, videos) produced by ModelNX.
• "Service" means the access to the platform and the AI generation features.

2. CREDIT SYSTEM AND BILLING

• Consumption:Services are consumed via "Credits." Consumption rates depend on the complexity of the task.
• No Rollover:Subscription credits are valid only for the duration of the billing cycle. Unused credits expire at the end of each month and do not roll over.
• No Refunds:Due to the immediate consumption of high-cost GPU resources and the digital nature of the service, all sales are final. No refunds will be issued based on the quality of AI outputs or unused credits.

3. INTELLECTUAL PROPERTY AND RIGHTS

• Ownership of Inputs:You represent that you own or have the legal right to use all Inputs uploaded to ModelNX. You grant us a temporary license solely to process these Inputs to provide the Service.
• Ownership of Assets:Subject to full payment, the Client retains ownership of the Generated Assets for commercial or internal use.
• Anti-Training Restriction:You are strictly prohibited from using the Service, the Generated Assets, or any ModelNX data to train, develop, or improve any machine learning models, AI algorithms, or competing software products.

4. ACCEPTABLE USE AND RESTRICTIONS

You agree not to use ModelNX to:

• Generate sexually explicit (NSFW), pornographic, or obscene content.
• Create "Deepfakes" or non-consensual imagery of real individuals.
• Scrape, harvest, or extract data from the Service using automated tools (crawlers, bots, or spiders).
• Reverse engineer or attempt to discover the source code of the platform.

5. DATA PROTECTION (GDPR / KVKK)

• Roles:Within the framework of the EU General Data Protection Regulation (GDPR) and the Turkish Data Protection Law (KVKK), ModelNX acts as the "Data Processor" and the Client acts as the "Data Controller."
• Compliance:The Client is responsible for ensuring they have a legal basis (e.g., consent) for processing any personal data (such as faces in model images) uploaded to the platform.

6. SERVICE AVAILABILITY AND QUALITY

• "As Is" Basis:AI is an experimental technology. We provide the Service "as is" without guarantees regarding uptime, stability, or the physical accuracy of the Generated Assets.
• Third-Party Infrastructure:ModelNX relies on third-party cloud providers (e.g., Supabase). We are not liable for service interruptions caused by these providers.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, ModelNX shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data. Our total aggregate liability shall not exceed the amount paid by the Client in the six (6) months preceding the claim.

8. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of the Republic of Turkey. Any disputes arising from these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the Courts and Execution Offices of Istanbul, Turkey.
